Trump Media & Technology Group and TAE Technologies have filed a registration statement with the U.S. Securities and Exchange Commission, moving their previously announced merger toward the next stage.

The companies announced the filing on Thursday, with TMTG shares trading largely flat. The proposed transaction would combine TMTG’s financial resources with TAE’s technology portfolio, which has been developed over nearly three decades.

Under the agreement signed on Dec. 18, 2025, the transaction is structured as an all-stock combination. TMTG shareholders and TAE stockholders would each own approximately 50% of the combined company on a fully diluted basis.

Merger Targets Commercial Fusion Energy

The combination would bring together TAE’s three business units — Fusion, Power Solutions and Life Sciences — with TMTG. If completed, the companies said the transaction would create one of the first publicly traded companies focused on developing commercial fusion energy.

The companies are positioning the combined business to address growing electricity demand, including power requirements associated with artificial intelligence.

“Today’s filing is a key step toward closing this merger and providing capital to fund TAE’s development of commercial fusion power,” said Kevin McGurn, interim CEO of TMTG.

TAE CEO and CTO Michl Binderbauer said TMTG has supported the company’s efforts to commercialize its technologies, which have emerged from decades of scientific and engineering work.

The registration statement includes a preliminary proxy statement and prospectus from TMTG, along with a consent solicitation statement from TAE. However, the filing has not yet been declared effective by the SEC.

The companies said no securities may be sold and no offers may be accepted under the merger until the registration statement becomes effective.

For investors following the deal, the filing marks a further procedural step toward the proposed combination, while the transaction remains subject to the regulatory process.

TMTG shares were reported at $9.10, up 0.44%, at the time of publication.
